DESCRIPTION Position: SVP – General Counsel
Reports to: Chairman & CEO
Status: Full-Time, Non-Exempt
JOB SUMMARY:
Mirabito Energy Products seeks an experienced and dynamic General Counsel to
lead our legal department. As the principal legal advisor to the company, the General
Counsel will play a critical role in providing comprehensive legal support and strategic
guidance to ensure compliance, manage risks, and contribute to achieving business
objectives. The successful candidate will have a deep understanding of Mergers &
Acquisitions, Real Estate Transactions, Contract Law, and the ability and willingness
to handle all legal and quasi-legal tasks and assignments.
RESPONSIBILITIES – include and are not limited to:
Legal Advisory:
o Provide expert legal counsel to executive leadership on various matters
related to the energy industry, including regulatory compliance, contracts,
and corporate governance.
Contract Management:
o Draft, review, and negotiate a variety of contracts, such as supply
agreements, distribution agreements, and vendor contracts, ensuring legal
compliance and alignment with the goals of one or more areas of Mirabito’s
business: convenience stores; wholesale/commercial/retail fuels;
electric/natural gas distribution and sales; on-site service.
Mergers & Acquisitions:
o Provide legal support in mergers, acquisitions, and other strategic
transactions including due diligence, negotiation, and contract drafting.
Real Estate:
o Drafting, negotiation and administration of real estate agreements and
documentation including letters of intent, purchase & sale agreements,
leases, deeds, easements, etc.
Corporate Secretarial & Governance:
o Advise on corporate governance matters, ensuring compliance with
applicable laws and regulations. Maintain corporate minutes, annual state
filings, ownership records, etc. for Mirabito and various subsidiaries and
affiliates.
Additional tasks and responsibilities will fall within areas such as
(not all included):
o Litigation Management
o Regulatory Compliance (Environmental and other)
o Debtor/Creditor, Collections, UCC filings
o Bank financing documentation
o Employment & Labor Law
o Outside Counsel Management / Legal Cost Control
o Intellectual Property management
QUALIFICATIONS – include and are not limited to:
Juris Doctor (JD) degree from an accredited law school and active bar membership
Licensed to practice in New York or qualified to attain New York In-house counsel
registration
Strong transactional experience that includes real estate transactions and mergers &
acquisitions
Ability and willingness to handle all manner and levels of legal and quasi-legal tasks
and assignments
Excellent analytical and problem-solving skills
Highly organized with exceptional attention to detail
Ability to collaborate effectively with cross-functional teams
Strong communication and interpersonal skills
Other preferred experience/attributes – include and are not limited to:
5+ years of experience in an in-house legal environment
Corporate Secretarial
Outside counsel management
Legal/Compliance Staff management
Experience representing clients in one or more areas of Mirabito’s business:
convenience stores, wholesale/commercial/retail fuels, electric/natural gas distribution
and sales, and on-site service
Practice experience in one or more states in which Mirabito operates: New York,
Pennsylvania, Connecticut, Vermont, and Massachusetts
